Partner Policy

This Partner Policy outlines the rules, responsibilities, payout arrangements, and legal protections regarding partners, freelancers, independent referrers, and agencies (“Partners”) who participate in SkillOrbitra, a platform owned and operated by Samiddhi Solutions Pvt. Ltd. (“Company”, “we”, “our”, “us”).

By registering or operating as a Partner on SkillOrbitra, you agree to the terms set out in this policy, in addition to the SkillOrbitra Terms of Use and Privacy Policy.

1. Partner Role & Scope

Partners may engage in:

• Referring talent profiles (candidates)
• Referring business clients for recruitment or staffing needs
• Supporting pre-screening, coordination, or basic candidate engagement (if applicable)

Partners operate as independent individuals or entities. This arrangement does not constitute employment, consultancy, agency, franchise, or authorized representation of the Company.

2. Referral Ownership & Submission Rules

• All referrals must be submitted exclusively via the SkillOrbitra platform.
• A referral is considered valid only when recorded in the system with accurate candidate or business details.
• Duplicate, misleading, or plagiarized referrals may be rejected without obligation.
• Partners must ensure the consent of referred candidates before submission.

3. Payout Structure (Service Charges)

The payout structure offered to Partners is a **service-based referral reward**, not a commission or employment wage.

Key protections for Samiddhi Solutions Pvt. Ltd.:

• All payout timelines, approval procedures, eligibility criteria, and disbursement conditions are **fully governed by the payout clauses agreed between Samiddhi Solutions Pvt. Ltd. and its clients**.
• These client payout clauses — including payment eligibility, clearance cycles, clawback periods, replacement rules, and compliance requirements — are **automatically inherited by the Partner by default**.
• The **only exception** to this inheritance is the **payout amount**, which is independently decided by Samiddhi Solutions Pvt. Ltd.
• Referral payout amount, percentage, or structure **may vary for every job role, client, industry, city, skill category, or payout cycle**.
• Samiddhi Solutions Pvt. Ltd. reserves full management discretion to increase, decrease, hold, pause, or revoke Partner payouts based on:
  • Client payment delays or non-payment
  • Candidate absconding, rejection, non-joining, or early exit
  • Misconduct, misrepresentation, or fraud by the Partner
  • Operational or compliance-related requirements
• No payout becomes due until Samiddhi Solutions Pvt. Ltd. has received the qualifying payout from the client.
• Partners are not entitled to force payouts, demand minimum earnings, or request compensation outside approved referral service rewards.

4. No Guarantee of Selection or Earnings

• The Company does not guarantee candidate selection or hiring.
• Payouts are based solely on successful closures that satisfy client & company payout conditions.
• Partners acknowledge that this is not a fixed-income or assured-income program.

5. Confidentiality & Data Protection

• All candidate, client, and internal data accessed through SkillOrbitra is confidential.
• Partners must not share, resell, or misuse platform information.
• Violation may result in immediate suspension and legal action.

6. Prohibited Activities

• Submitting candidates without their consent
• Misrepresenting client opportunities
• Charging candidates directly
• Copying or redistributing Samiddhi Solutions Pvt. Ltd. materials
• Creating duplicate accounts or manipulating referral records
• Engaging in misleading or unprofessional behavior with clients/candidates

7. Relationship Between Partner & Company

Partners operate strictly as independent referrers. Nothing in this policy shall be interpreted as:

• Employment with Samiddhi Solutions Pvt. Ltd.
• Authorization to legally bind the Company
• Right to represent the Company in negotiations
• Any form of ownership or contractual promise outside this policy

8. Suspension & Termination

The Company may suspend or terminate a Partner account if:

• Fraud, misconduct, or data misuse is detected
• Clients raise concerns about Partner behavior
• The Partner violates platform rules or legal policies
• The Company’s operational or compliance needs require action

9. Limitation of Liability

• The Company is not liable for any loss of earnings due to client actions or market changes.
• No Partner is entitled to compensation for declined candidates, rejected referrals, or paused payouts.
• The platform is provided "as-is" without warranties of uninterrupted service.

10. Policy Updates

Samiddhi Solutions Pvt. Ltd. may update this policy at its sole discretion. Continued participation as a Partner constitutes acceptance of revised terms.
